These Terms of Service ("Terms") govern your access to and use of the website, products, systems, automations, artificial intelligence services, and related services provided by Murdock Operational Solutions, LLC ("Murdock Operational Solutions," "Company," "we," "us," or "our").

By accessing our website, purchasing our services, entering into an agreement with us, or using any system or service provided by Murdock Operational Solutions, you agree to these Terms.

If you do not agree to these Terms, you should not use our services.


1. About Our Services

Murdock Operational Solutions provides artificial intelligence, automation, and business technology solutions.

Our services may include:

AI voice agents

AI SMS and text agents

Website AI chatbots and widgets

Appointment-booking systems

Lead follow-up systems

Lead reactivation systems

CRM automation

Review and reputation automation

Email automation

AI-assisted customer support

Workflow automation

Custom AI systems

System integration

Consulting, implementation, maintenance, and related services

The exact services provided to a client may be described in a separate proposal, order form, statement of work, invoice, service agreement, or other written agreement.

If a specific written agreement between a client and Murdock Operational Solutions conflicts with these Terms, the specific written agreement will control with respect to that conflict.


2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use or purchase our services.

If you use our services on behalf of a business or other organization, you represent that you have authority to bind that organization to these Terms.

In that situation, "you" and "your" include the organization you represent.


3. Client Responsibilities

You are responsible for providing accurate and complete information reasonably necessary for us to provide the services.

Depending on the services purchased, you may be responsible for providing:

Business information

Customer or lead information

CRM access

Telephone numbers

Email accounts

Calendars

Website access

API credentials

Service descriptions

Pricing information

Availability

Scripts

Frequently asked questions

Policies

Customer service procedures

Other information required to configure the system

You are responsible for reviewing the accuracy of information provided to us.

Delays caused by missing information, access credentials, approvals, or other materials may delay implementation or performance.


4. Artificial Intelligence

Our services may use artificial intelligence and machine-learning technologies provided by us or third-party providers.

AI systems may generate, interpret, summarize, classify, or respond to information automatically.

You acknowledge that AI technology is probabilistic and may occasionally produce inaccurate, incomplete, outdated, unexpected, or inappropriate outputs.

We do not guarantee that every AI-generated response will be error-free.

Clients are responsible for determining whether AI-generated information is appropriate for their particular business and for informing us of material errors or required changes.


5. No Guarantee of Business Results

Our services are designed to help businesses improve areas such as communication, response time, lead management, appointment scheduling, customer experience, follow-up, and operational efficiency.

However, Murdock Operational Solutions does not guarantee any particular business result.

We do not guarantee:

A specific number of leads

A specific number of appointments

A particular conversion rate

Increased revenue

Increased profit

Specific cost savings

Customer retention

Review volume

Search rankings

Specific return on investment

That every lead will respond

That every appointment will result in a sale

Business performance depends on numerous factors outside our control, including the client's offer, pricing, reputation, market, employees, sales process, customer demand, lead quality, competition, and economic conditions.

Any examples, projections, case studies, estimates, demonstrations, or potential ROI figures are illustrative unless expressly guaranteed in a separate signed agreement.


6. Client Customer and Lead Data

Clients may provide Murdock Operational Solutions with information concerning customers, prospective customers, leads, employees, or other individuals.

You represent and warrant that you have the legal right and appropriate authority to provide such information to us and authorize its processing for the requested services.

You are responsible for the legality, accuracy, and source of information uploaded, connected, imported, or otherwise made available to our systems.

Murdock Operational Solutions generally processes client customer and lead information for the purpose of providing services requested by the client.

Our handling of personal information is further described in our Privacy Policy and any applicable Data Processing Agreement.


7. SMS, Telephone, Email, and Automated Communications

Our services may allow clients to communicate with customers and prospective customers through telephone calls, artificial or prerecorded voice technology, SMS/text messages, email, chat, or other automated communication channels.

Clients are responsible for ensuring that their use of these services complies with all laws and regulations applicable to their communications.

This includes obtaining any consent required before initiating particular communications.

Clients are responsible for:

Maintaining appropriate consent records

Honoring opt-out requests

Maintaining suppression or do-not-contact lists where required

Providing legally required disclosures

Complying with calling-hour restrictions

Complying with applicable telemarketing rules

Complying with applicable email-marketing rules

Properly identifying the sender of communications

Following industry-specific requirements applicable to their business

Murdock Operational Solutions may provide technical functionality that assists with these requirements, but the availability of a feature does not mean that every use of that feature is legally permitted.


8. Call Recording and Transcription

Our AI voice systems may support call recording, transcription, analysis, and summarization.

Clients are responsible for ensuring that call recording and transcription are used in accordance with applicable federal and state laws.

Where notice or consent is legally required, the client must ensure that appropriate notice or consent is provided before recording.

Murdock Operational Solutions may configure technical features intended to assist with such disclosures, but clients remain responsible for determining the legal requirements applicable to their communications.


9. Client Instructions and AI Scripts

AI systems may rely upon scripts, instructions, policies, FAQs, knowledge bases, pricing, scheduling information, and other materials provided or approved by the client.

Clients are responsible for ensuring this information is accurate, lawful, and current.

Murdock Operational Solutions is not responsible for damages resulting from inaccurate or outdated information supplied or approved by a client.

Clients should promptly notify us when information affecting the operation of an AI system changes.


10. Prohibited Uses

You may not use our services for unlawful, fraudulent, deceptive, abusive, or unauthorized purposes.

You may not use our services to:

Violate applicable laws or regulations

Send unlawful spam or telemarketing communications

Contact individuals without legally required consent

Ignore valid opt-out requests

Impersonate another person or organization unlawfully

Commit fraud

Harass, threaten, or abuse individuals

Collect information unlawfully

Distribute malware or malicious code

Attempt unauthorized access to systems or accounts

Infringe intellectual property rights

Circumvent security measures

Use our systems in a manner reasonably likely to damage our infrastructure or third-party services

We may suspend or terminate services when we reasonably believe a client is using them unlawfully or in material violation of these Terms.


11. Third-Party Services

Our services may depend upon third-party technology providers.

These may include CRM platforms, AI providers, telecommunications providers, cloud-hosting companies, email providers, payment processors, scheduling platforms, analytics providers, automation platforms, and other vendors.

Third-party services may include platforms such as GoHighLevel, OpenAI, xAI/Grok, Twilio, and other providers selected for a particular implementation.

These third-party services operate independently and may have their own:

Privacy policies

Acceptable-use policies

Pricing

Usage limitations

Availability requirements

Technical limitations

By using our services, you acknowledge that portions of your system may depend upon third-party services.


12. Third-Party Outages and Changes

We are not responsible for interruptions, outages, errors, price increases, API changes, account restrictions, policy changes, service discontinuations, or other actions caused by third-party providers outside our reasonable control.

If a third-party provider materially changes or discontinues functionality required for your system, we may work with you to identify an alternative solution.

Additional development or migration work may result in additional charges, which will be disclosed before such additional paid work is performed.


13. Fees and Payment

Pricing for services will be provided through a proposal, invoice, checkout page, order form, service agreement, or similar document.

Fees may include:

Initial setup or implementation fees

Monthly service fees

Usage-based charges

Software costs

Telephone or SMS usage

AI usage

Third-party platform fees

Custom development fees

Additional support or maintenance fees

Unless expressly stated otherwise, third-party usage charges may be separate from Murdock Operational Solutions' service fees.

You agree to pay all fees associated with the services you purchase according to the payment terms presented at the time of purchase.


14. Recurring Payments

Certain services may be billed on a recurring basis.

By purchasing a recurring service, you authorize the applicable payment processor to charge the payment method provided according to the billing frequency disclosed at purchase.

Recurring charges will continue until the service is canceled in accordance with the applicable service agreement or cancellation terms.

You are responsible for maintaining a valid payment method.


15. Late or Failed Payments

If payment becomes overdue or a payment method fails, we may notify you and request updated payment information.

We reserve the right to suspend access to paid services for materially overdue balances after reasonable notice.

Suspension for nonpayment does not eliminate amounts already owed.


16. Setup and Implementation Fees

Unless otherwise stated in a written agreement, setup, implementation, customization, onboarding, and development fees compensate Murdock Operational Solutions for work performed in configuring and building systems.

Once substantial implementation work has begun, these fees may be non-refundable to the extent permitted by law and the applicable client agreement.

Any specific refund guarantee offered to a client must be stated in writing.


17. Cancellation

Cancellation terms may vary depending on the service purchased and will be disclosed in the applicable proposal, service agreement, order form, or other purchase terms.

Unless otherwise agreed in writing, cancellation does not automatically entitle a client to a refund for services already performed, implementation work already completed, usage charges already incurred, or completed billing periods.

Clients remain responsible for outstanding charges incurred before the effective cancellation date.


18. Ownership of Client Materials

Clients retain ownership of materials they provide to Murdock Operational Solutions, subject to any rights necessary for us to provide the services.

You grant us a limited right to access, use, copy, process, transmit, and modify client materials solely as reasonably necessary to provide, maintain, secure, and support the services.


19. Murdock Operational Solutions Intellectual Property

Unless otherwise agreed in writing, Murdock Operational Solutions retains ownership of its pre-existing intellectual property and reusable business assets, including:

Automation frameworks

Templates

Workflows

Prompt structures

System architecture

Methods

Processes

Documentation

Internal tools

Reusable software components

General know-how

A client's payment for services does not transfer ownership of our underlying reusable intellectual property unless a written agreement expressly states otherwise.

Specific deliverables created exclusively for a client may be subject to separate ownership terms in the applicable client agreement.


20. Confidentiality

Each party may receive confidential or proprietary information belonging to the other.

Each party agrees to use reasonable care to protect confidential information and to use it only for purposes connected with the business relationship.

Confidential information does not include information that:

Is publicly available without breach of an obligation

Was lawfully known before disclosure

Is lawfully obtained from another source

Is independently developed without use of confidential information

Information may be disclosed when required by law, subpoena, court order, or lawful government request.


21. Data Security

Murdock Operational Solutions uses reasonable administrative, technical, and organizational safeguards intended to protect information processed through our systems.

However, no internet-based or electronic system can be guaranteed to be completely secure.

Clients are also responsible for protecting their own accounts, passwords, API keys, credentials, devices, and authorized-user access.

Clients should promptly notify us if they reasonably suspect unauthorized access affecting systems we manage.


22. Privacy

Our collection and processing of personal information are governed by our Privacy Policy and, where applicable, separate data-processing agreements.

Clients using our services to process personal information are responsible for maintaining their own privacy notices and complying with privacy laws applicable to their businesses.


23. Availability and Maintenance

We strive to maintain reliable services but do not guarantee uninterrupted or error-free availability.

Services may occasionally be unavailable because of:

Maintenance

Updates

Internet failures

Third-party outages

Telecommunications failures

Cybersecurity incidents

API changes

Events outside our reasonable control

We may modify systems when reasonably necessary to maintain security, functionality, compatibility, or compliance.


24. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

MURDOCK OPERATIONAL SOLUTIONS DISCLAIMS WARRANTIES NOT EXPRESSLY PROVIDED IN A WRITTEN AGREEMENT, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT AI OUTPUTS WILL ALWAYS BE ACCURATE OR THAT SERVICES WILL BE COMPLETELY UNINTERRUPTED, ERROR-FREE, OR SUITABLE FOR EVERY BUSINESS PURPOSE.

Nothing in these Terms excludes warranties that cannot legally be excluded.


25. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MURDOCK OPERATIONAL SOLUTIONS, LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE SERVICES.

THIS INCLUDES, WHERE PERMITTED BY LAW, DAMAGES RELATING TO:

LOST PROFITS

LOST REVENUE

LOST BUSINESS OPPORTUNITIES

LOST LEADS

LOST DATA

CUSTOMER CLAIMS

BUSINESS INTERRUPTION

THIRD-PARTY PLATFORM FAILURES

AI-GENERATED ERRORS

UNAUTHORIZED OR UNLAWFUL CLIENT USE OF THE SERVICES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING FROM A PARTICULAR SERVICE WILL NOT EXCEED THE AMOUNTS PAID TO MURDOCK OPERATIONAL SOLUTIONS FOR THAT SERVICE DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not permit certain limitations of liability, so portions of this section may not apply in every circumstance.


26. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Murdock Operational Solutions, LLC and its owners, officers, employees, contractors, and agents from third-party claims, damages, liabilities, penalties, losses, and reasonable legal expenses arising from:

Your unlawful use of our services

Your violation of these Terms

Your violation of applicable communication or marketing laws

Your failure to obtain legally required consent

Your customer or lead data

Materials or instructions supplied by you

Your infringement of another person's rights

Your violation of applicable law

This obligation does not apply to the extent a claim results directly from Murdock Operational Solutions' own conduct for which indemnification cannot lawfully be limited.


27. Suspension and Termination

We may suspend or terminate services if:

Required payments remain materially overdue

A client materially violates these Terms

A client uses our services unlawfully

Continued operation creates a material security risk

Continued service would violate law or a third-party platform requirement

A client engages in fraud or abuse

Continuing the relationship becomes legally prohibited

Where reasonably possible and appropriate, we will provide notice and an opportunity to address a curable violation before termination.


28. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles, except where applicable law requires otherwise.


29. Venue

Unless otherwise required by applicable law or agreed in writing, legal proceedings arising from these Terms or our services shall be brought in a court of competent jurisdiction located in Illinois.

The parties consent to the jurisdiction of such courts to the extent legally permitted.


30. Changes to These Terms

We may update these Terms periodically to reflect changes to our business, technology, services, or legal requirements.

The "Last Updated" date at the beginning of these Terms will indicate when they were most recently revised.

Material changes will be communicated where required by applicable law.

Continued use of the services following the effective date of updated Terms constitutes acceptance where permitted by law.


31. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

An invalid provision will be interpreted or modified to the minimum extent necessary to make it enforceable where legally permitted.


32. No Waiver

Failure by Murdock Operational Solutions to enforce a provision of these Terms does not constitute a waiver of that provision or any other right.


33. Assignment

You may not assign your rights or obligations under these Terms without our prior written consent.

Murdock Operational Solutions may assign these Terms in connection with a merger, acquisition, restructuring, sale of substantially all assets, or similar business transaction, subject to applicable law.


34. Entire Agreement

These Terms, together with our Privacy Policy and any applicable proposal, order form, statement of work, service agreement, Data Processing Agreement, or other written agreement, constitute the agreement governing the applicable services.

Where a separately signed client agreement conflicts with these general Terms, the separately signed agreement will control regarding the conflicting provision.


35. Electronic Communications

You agree that contracts, notices, disclosures, invoices, and other communications may be provided electronically where permitted by law.

Electronic communications may satisfy legal requirements that communications be in writing.
